Nature of WellRun Services
WellRun Business Office provides administrative and operational support, including assistance with financial-office processes, HR administration, compliance documentation, vendor coordination, records management, workflow development, and business operations.
WellRun Business Office is not a law firm, certified public accounting firm, tax preparation service, audit firm, or financial advisory firm. Services are intended to support the administrative operation of a business and do not replace licensed legal, tax, accounting, payroll, insurance, or other professional advice when such advice is required.
Client Responsibilities
Clients remain responsible for the management and legal operation of their businesses.
Unless a specific responsibility is expressly included in a written service agreement, the client is responsible for:

Reviewing and approving business information, reports, filings, and submissions

Providing complete and accurate records and information

Meeting applicable filing, reporting, payment, licensing, and renewal deadlines

Paying taxes, fees, payroll obligations, penalties, and other amounts due

Maintaining required licenses, registrations, insurance, and permits

Making final business, financial, employment, and compliance decisions
Administrative support provided by WellRun does not transfer the client's underlying legal or regulatory responsibilities to WellRun.
Tax, Payroll, and Regulatory Filings
WellRun may assist clients with organizing records, preparing administrative information, tracking deadlines, coordinating documents, or supporting filing processes.
Unless WellRun has expressly agreed in writing to perform a specific submission, clients remain responsible for confirming that required federal, state, and local returns, reports, payments, filings, and renewals are completed by the applicable deadlines.
Where WellRun has agreed to assist with or submit a specific filing, the client remains responsible for providing complete and timely information and for reviewing and approving the information when client approval is required.
WellRun does not provide tax preparation or tax advice unless such services are separately provided by a properly qualified professional.
Audits, Penalties, and Agency Actions
WellRun Business Office does not guarantee that a client will avoid an audit, review, inquiry, investigation, penalty, interest charge, assessment, or other action by the Internal Revenue Service, Washington State agencies, local authorities, or other governmental or regulatory bodies.
An audit, inquiry, or agency action does not necessarily indicate that administrative support was performed incorrectly.
WellRun is not responsible for penalties, interest, assessments, missed deadlines, or other consequences resulting from incomplete, inaccurate, withheld, or untimely information provided by a client; client decisions or actions; obligations outside the agreed scope of services; or failures by third parties.
Accuracy and Timeliness of Information
WellRun relies on information, records, instructions, and approvals provided by clients and their representatives.
Clients are responsible for ensuring that information supplied to WellRun is accurate, complete, and provided in sufficient time for the requested work to be completed.
WellRun is not responsible for errors, delays, missed deadlines, or other consequences caused by inaccurate, incomplete, outdated, or late information supplied by a client or another party acting on the client's behalf.
Third-Party Providers and Systems
WellRun may work with or coordinate information involving third-party providers such as accountants, payroll companies, attorneys, insurance professionals, software platforms, financial institutions, government agencies, vendors, and other service providers.
WellRun does not control and is not responsible for the availability, accuracy, performance, security, processing times, decisions, or failures of independent third-party providers or government systems.
Use of third-party services may also be subject to the terms, policies, and procedures of those providers.
Scope of Services
The specific services WellRun will perform for a client are determined by the applicable proposal, scope of work, engagement letter, or service agreement.
Services not expressly included in the agreed scope are not assumed to be included.
Clients should not rely on general website descriptions, informal conversations, or prior assistance as confirmation that WellRun is responsible for a particular filing, deadline, payment, compliance requirement, or business obligation.
If there is any conflict between this website disclaimer and a signed service agreement, the terms of the signed service agreement will control.
Professional Advice

Nothing in this Service Disclaimer is intended to eliminate responsibilities that cannot lawfully be limited or excluded.
